Practice
Ralph K. Merzbach, the founding principal, concentrates his practice in business law with special emphasis on technology, securities and financing transactions.
Mr. Merzbach has represented clients in the negotiation and execution of almost all aspects of their business legal affairs, from the ordinary to the complex. His work has included a broad range of business combinations, private placements, venture capital transactions for investors and issuers, investment advisory and management agreements, technology licensing, business succession planning, contract and stockholder disputes, joint ventures, business formations, shareholder agreements and lending transactions. His clients have ranged from public companies and institutions to small family-owned enterprises.
Education
Mr. Merzbach received his J.D. degree from the University of Pennsylvania Law School and his B.A. degree, with high distinction, from the University of Rochester.
Professional Affiliations
He is a member of the Business Law Sections of the American, New York State and Monroe County Bar Associations and the Intellectual Property Law Sections of the New York State and Monroe County Bar Associations.
Mr. Merzbach is listed in the current edition of Best Lawyers in America (Corporate Law) and has been recognized as an Upstate New York Super Lawyer (Business/Corporate Law).
Mr. Merzbach has lectured on business law topics at state and county bar association programs, at several universities and at business association functions.
Community Service
Mr. Merzbach serves as a director of the Ronald McDonald House of Rochester and on the advisory board for YMCA Camp Gorham and has served as a classroom tutor through the Monroe County Bar Association’s Lawyers for Learning program.
Previous Experience
Before establishing his own practice in July 1998, Mr. Merzbach was a partner in the Rochester-based law firm of Woods Oviatt Gilman LLP, where he practiced since 1978 and, at the time of his departure, chaired the firm's Corporate Department.
